This Platform contains artificial intelligence-generated adult content intended exclusively for individuals who are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher). By accessing or using this Platform, you confirm that you meet the minimum age requirement and consent to viewing adult content.

1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and PLADA TECHNOLOGIES LTD, operating as SxxxAI ("Company," "we," "us," "our") governing your access to and use of our AI-generated adult content platform, including all associated websites, applications, services, and features (collectively, the "Platform").

By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately cease all use of the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform following such modifications constitutes your acceptance of the updated Terms.

2. ELIGIBILITY AND AGE VERIFICATION

2.1 Minimum Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to access or use this Platform. By using the Platform, you represent and warrant that you meet this age requirement.

• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account or any other security breach. We shall not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. DESCRIPTION OF SERVICES

4.1 AI-Generated Content and Subscription Services

The Platform provides access to adult-oriented content that is generated using artificial intelligence technologies through monthly and yearly subscription plans. Subscribers gain access to content organized per AI model, including but not limited to:

• Pre-generated AI images and visual content
• Pre-generated AI videos
• Pre-generated AI stories, narratives, and written content
• AI-powered interactive chat experiences

All content available on the Platform is pre-generated by our internal team using AI tools. There is no user-generated content (UGC) on the Platform. Users access and consume content created and curated by PLADA TECHNOLOGIES LTD.

4.2 Nature of AI-Generated Content

You acknowledge and understand that all content generated by our AI systems is entirely fictional and synthetic. No real individuals are depicted in AI-generated content. The characters, scenarios, and narratives presented are products of artificial intelligence algorithms and do not represent, portray, or intend to resemble any actual person, living or deceased.

5. PROHIBITED CONDUCT AND CONTENT

You agree not to engage in any activity on the Platform that:

5.1 Absolutely Prohibited Content

• Child Sexual Abuse Material (CSAM): Any content that depicts, suggests, or could be interpreted as involving minors in sexual situations is strictly prohibited. This includes AI-generated content that appears to depict individuals under the age of 18.
• Non-Consensual Content: Content depicting or glorifying sexual violence, rape, or any non-consensual sexual activity.
• Deepfakes of Real Persons: Using the Platform to create adult content depicting identifiable real individuals without their explicit written consent.
• Extreme Violence: Content combining sexual imagery with extreme violence, gore, or torture.
• Bestiality: Any content depicting sexual acts with animals.

5.2 Other Prohibited Activities

• Attempting to bypass age verification systems or content filters
• Sharing account credentials or allowing minors to access your account
• Redistributing or commercially exploiting Platform content without authorization
• Engaging in harassment, threats, or abusive behavior toward other users
• Attempting to reverse-engineer, decompile, or extract our AI models or algorithms
• Using automated systems, bots, or scrapers to access the Platform
• Violating any applicable local, state, national, or international law or regulation

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Platform Ownership

The Platform, including its design, features, functionality, AI models, algorithms, source code, and all related intellectual property, is and shall remain the exclusive property of the Company and its licensors. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited license to use it as expressly provided herein.

6.2 AI-Generated Content

The Platform does not accept or host user-generated content. All content on the Platform is pre-generated by PLADA TECHNOLOGIES LTD using AI tools and is owned by the Company. Subscribers are granted a limited, non-exclusive, non-transferable license to access and view the content for personal use during their active subscription period.

6.3 Data Usage

By using the Platform, you acknowledge that any data or interactions generated through your use of the Platform (such as usage analytics and preferences) may be used by us for the purposes of operating, improving, and developing the Platform, subject to our Privacy Policy.

7. PAYMENT TERMS AND SUBSCRIPTIONS

7.1 Subscription Services

Certain features of the Platform may require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).

7.2 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

7.3 Refund Policy

Due to the nature of digital content and AI-generated services, all sales are generally final. Refunds may be considered on a case-by-case basis at our sole discretion, particularly in cases of technical issues preventing service delivery.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, completeness, or timeliness of AI-generated content
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties regarding the results obtained from using the Platform

AI-generated content may contain errors, inaccuracies, or unexpected outputs. You are solely responsible for evaluating the appropriateness and accuracy of any AI-generated content before use.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from unauthorized access to or alteration of your transmissions or data
• Any damages arising from AI-generated content or your reliance thereon

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us, if any, during the twelve (12) months preceding the claim.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (d) your violation of any applicable law or regulation.

11. CONTENT MODERATION AND REPORTING

11.1 Content Monitoring

The Platform does not permit user-generated content (UGC). All content available on the Platform is created internally by our team using AI generation tools. Our content moderation procedures include:

• All AI-generated content is reviewed and approved by our internal team before being published on the Platform
• Content is checked for compliance with these Terms, applicable laws, and our internal content policies
• No external or user-submitted content is accepted or published on the Platform

11.2 Reporting Violations

If you encounter content that you believe violates these Terms or applicable law, please report it immediately through our designated reporting mechanisms or by contacting us at info@sxxx.ai. We investigate all reports and take appropriate action, which may include content removal.

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time by following the account closure procedures in your account settings. Upon termination, your right to use the Platform will immediately cease.

12.2 Termination by Us

We may suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Upon request by law enforcement or government agencies

12.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada (ADRIC). The arbitration shall take place in Ontario, Canada, and the language of the arbitration shall be English.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. COMPLIANCE WITH LAWS

We are committed to compliance with applicable laws regarding adult content and AI-generated material, including but not limited to:

• 18 U.S.C. § 2257 Compliance: Where applicable, we maintain records as required by federal law. For AI-generated content that does not depict actual human beings, 2257 record-keeping requirements may not apply; however, we maintain internal compliance documentation.
• State Age Verification Laws: We implement age verification measures as required by applicable state laws.
• International Regulations: Access to the Platform may be restricted in certain jurisdictions where such content is prohibited by law.

15. MISCELLANEOUS PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding your use of the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
